This flag is jointly used by both Pontotoc county and City of Pontotoc, Mississippi: www.pontotoccountychanceryclerk.com/coin/index.html. The seal is also seen on a coin issued by Pontotoc:
"The coin was first available in December, 2002, and has become quite popular as a collector's item and as a gift for many occasions. The coins are a representation of both the county and city as each were established in 1836. The design on the coin was adopted by the Pontotoc County Board of Supervisors and the City of Pontotoc as the official seal of Pontotoc. A Pontotoc flag has also been designed and commissioned using this seal."
